Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sdrs website at sdrs.ai and the AI-powered sales development platform (collectively, the "Service") operated by Sdrs ("we," "us," or "our"). Please read these Terms carefully before using the Service.

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Acceptance of Terms

By accessing the Service, creating an account, or clicking "I agree" (or a similar affirmation), you represent that you are at least 18 years of age and that you have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you as an individual and the organization you represent.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the Service or via the email address associated with your account. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms.

Description of Service

Sdrs is an AI-powered sales development platform that helps businesses automate lead generation, outreach, and meeting booking. The Service provides tools for discovering B2B prospects, creating multi-channel outreach campaigns, generating AI-written messages, tracking campaign performance, managing replies, and scheduling meetings. The Service is designed to augment or replace traditional sales development representative functions through AI automation.

We may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify users of significant changes that affect their use of the platform. We do not guarantee that any specific feature will remain available indefinitely.

User Accounts

To access most features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials and not share your password with others
  • Promptly update your account information if it changes
  • Accept responsibility for all activity that occurs under your account, whether or not you authorized that activity
  • Notify us immediately if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or are in violation of these Terms.

User Responsibilities and Acceptable Use

You are responsible for your use of the Service and all content you create, upload, or transmit through the platform. You agree that you will not use the Service to:

  • Send unsolicited communications that violate applicable anti-spam laws, including the CAN-SPAM Act, GDPR, CASL, or any other relevant legislation in jurisdictions where your recipients are located
  • Harvest, scrape, or collect personal information about individuals without a lawful basis for doing so
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Send communications that are deceptive, misleading, threatening, harassing, defamatory, or otherwise objectionable
  • Transmit malware, viruses, or any other harmful code through the platform
  • Attempt to gain unauthorized access to other users' accounts, our systems, or any related networks
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service for any purpose that is unlawful or prohibited by these Terms
  • Resell, sublicense, or redistribute access to the Service without our prior written consent

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including data protection laws, anti-spam legislation, and telecommunications regulations. We are not responsible for your compliance with these laws.

Payment Terms

Sdrs offers paid subscription plans. By subscribing to a paid plan, you agree to the following payment terms:

Renewals and failed payments. Your subscription renews automatically until you cancel it. When a new billing period begins, access for that whole period is granted and the payment for it is due. If the charge does not go through, the payment remains due and we retry it. Cancelling after a new period has begun only switches off later renewals; it does not cancel the payment for the period that has already started. Such a renewal charge is not refundable, and your access continues until the end of that paid period. The fee is for access to the service for the period, not for using it, so not having used the service is not a ground for a refund.

  • Billing cycle: paid plans are billed either monthly or annually, depending on the billing period you select at checkout. Monthly plans are billed on the same date each month. Annual plans are billed as a single charge for the full year.
  • Automatic renewal: subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan at each renewal.
  • Payment processing: all payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for the applicable subscription fees.
  • Price changes: we may change our subscription prices from time to time. Price changes will take effect at the start of your next billing period following the date of the price change. We will provide you with reasonable advance notice of any price increases.
  • Failed payments: if a payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend your access to paid features until the outstanding balance is resolved.

Refund Policy

All payments are final. A charge is returned only in the narrow cases set out in our Refund Policy: a duplicate charge caused by our billing, a proven unauthorised charge reported within 14 days, or a confirmed failure that left the Service entirely unusable. Not using the Service, a renewal you forgot to cancel, partial periods and plan changes are not refunded. Cancelling stops future renewals; you keep access to paid features until the end of the period already paid, and the payment for that period is not reversed. The Refund Policy forms part of these Terms.

Intellectual Property

Our Intellectual Property

The Service, including its design, code, algorithms, features, branding, documentation, and all related intellectual property, is owned by Sdrs and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.

Your Content

You retain ownership of all content you create, upload, or transmit through the Service, including lead lists, campaign templates, message copy, and any other materials ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

AI-Generated Content

Content generated by the AI features of the Service (such as email copy, subject lines, follow-up sequences, and prospect research summaries) is provided to you for your use within the Service and in your outreach activities. You are solely responsible for reviewing, editing, and approving all AI-generated content before it is sent to any recipient. We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content.

Limitation of Liability

To the maximum extent permitted by applicable law, Sdrs and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you have paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not guarantee specific results from using the Service, including the number of leads generated, meetings booked, or the deliverability of outreach messages. AI-generated content may contain inaccuracies, and you use it at your own discretion and risk.

Indemnification

You agree to indemnify, defend, and hold harmless Sdrs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content or any outreach messages you send through the Service; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property, privacy, or anti-spam rights; or (e) any third-party claim related to your outreach activities conducted through the Service.

Termination

You may cancel your account and stop using the Service at any time by contacting us at [email protected] or through the account settings within the platform.

Cancelling a paid subscription stops billing at the end of the current period. It does not delete Your Content by itself: your campaigns, leads, replies and other content stay in your account. We delete that content only if you ask us to, which you can do when you cancel, and in that case we remove it 30 days after the paid period ends and email you beforehand.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our acceptable use policies
  • Engaging in activity that harms or threatens to harm other users, the Service, or third parties
  • Non-payment of subscription fees after reasonable notice and opportunity to cure
  • Extended period of inactivity (accounts with no login activity for over 12 months)
  • Requests from law enforcement or other government agencies

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export Your Content before deletion, but we are not obligated to retain Your Content after account termination. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, limitations of liability, indemnification, and dispute resolution.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by a recognized arbitration organization, unless you are located in a jurisdiction where arbitration clauses are not enforceable, in which case disputes shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware.

Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sdrs regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, both written and oral, regarding the Service.
